Carrier Agreement Terms
The standard terms of our dispatch relationship: our role as your agent, load approval, fees, paperwork, termination and what we are not.
Updated September 22, 2026
This page summarizes the standard terms of our dispatch relationship with a motor carrier. It is provided so you know what you are signing before you sign it. Your individual signed service agreement is the binding document and controls where the two differ.
1. Our Role: Agent, Not Broker
Trucking Services Solutions Corp. acts as the limited agent of the carrier for the purpose of locating and negotiating freight. Specifically:
- We do not hold freight broker authority and do not operate as a broker
- We never take title to, possession of or responsibility for freight
- We do not arrange transportation in our own name
- We do not receive, hold or disburse freight payments
- The rate confirmation and contract of carriage run between you and the broker or shipper
- The broker pays you, or your factoring company, directly
- We invoice you separately for our service fee
Why this matters: a dispatch service that takes payment from the broker and pays the carrier a portion is, in substance, brokering freight, which requires broker authority and a surety bond. We do not operate that way.
2. Limited Authorization
You authorize us, for the term of the agreement, to communicate with brokers and shippers on your behalf, complete carrier setup packets using your information, negotiate rates subject to your approval, receive and forward rate confirmations, submit invoices and paperwork, and handle load related communication. This authorization is limited to these purposes and may be withdrawn by you in writing at any time.
We are not authorized to, and will not, sign contracts of carriage in your name without your approval, accept a load you have not approved, waive your rights against a broker, or make representations about your insurance or authority that are not true.
3. Load Approval
- Every load is presented to you for approval before booking.
- You may decline any load for any reason. It is your truck.
- Approval may be given verbally, by text, by email or through whatever method your agreement specifies.
- Once you approve a load and a rate confirmation is signed, you are committed to the broker under that document, not to us.
- You remain responsible for confirming that a load fits your available hours of service and your equipment.
4. Fees And When They Are Earned
- On percentage plans, our fee is a percentage of the gross line haul stated on the rate confirmation.
- We do not take a percentage of fuel surcharge, detention, layover, TONU or other accessorials.
- Our fee is earned when the load is booked and delivered, and is invoiced after delivery.
- On flat weekly plans, the fee is invoiced per truck per week regardless of load count.
- Our fee is payable whether or not the broker pays you, because we did not guarantee the broker's credit. We do check broker credit before booking to reduce that risk.
- Government and agency filing fees are separate and paid directly to the agency.
5. Carrier Obligations
- Maintain active MC and USDOT authority without lapse
- Maintain insurance at the levels required by your brokers and by regulation, and notify us immediately of any lapse or cancellation
- Operate legally, including hours of service and equipment requirements
- Give us accurate information about your available hours and location
- Submit signed bills of lading and delivery paperwork promptly
- Notify us immediately of a breakdown, accident, delay or cargo issue
- Not accept loads directly from brokers we introduced you to in order to avoid our fee, as set out below
6. What We Do Not Guarantee
- Any level of revenue, rate per mile, load volume or weekly gross
- That a load will be available in any lane at any time
- That a broker will pay, pay on time, or pay accessorials
- That a factoring company will approve or advance on an invoice
- That any filing will be approved or any audit passed
7. Non Solicitation And Broker Relationships
Where we introduce you to a broker you had no prior relationship with, you agree not to book directly with that broker for the purpose of avoiding our fee during the term of the agreement and for a reasonable period afterward as specified in your agreement. This does not restrict your right to work with brokers you already had relationships with, and it does not survive as a general restraint on your business after the specified period.
8. Confidentiality
Each party keeps the other's non public business information confidential, including rate information, broker contacts and carrier financial details, and uses it only for the purposes of the engagement. This survives termination.
9. Term And Termination
- There is no minimum term on dispatch service.
- Either party may terminate with written notice as specified in the agreement, commonly 14 days.
- Loads already booked and in transit at termination are completed, and our fee on those loads remains payable.
- Fees earned before termination remain due.
- We may terminate immediately if your authority or insurance lapses, if you operate unlawfully, or if your account falls materially past due.
- On termination we return your driver files and records and cease acting on your behalf.
10. Independent Contractor Relationship
We are an independent contractor. Nothing in the relationship creates a partnership, joint venture, employment or carrier to carrier relationship. Neither party may bind the other beyond the limited authorization described above. Our personnel are not your employees and your drivers are not ours.
11. Insurance
You maintain your own liability, cargo and any other required coverage. We do not insure your freight, your equipment or your operation, and our service does not substitute for any coverage you are required to carry.
12. Dispute Resolution
The parties will first attempt to resolve any dispute in good faith by direct discussion. Unresolved disputes are governed by Florida law and brought in the state or federal courts of Miami-Dade County, Florida, unless the signed agreement specifies otherwise.
